Terms of Service

1. Company Information

MyLabelDesk is operated by AWC Music Services BV, a Belgian company, with registered office at Vaderlandstraat 76, 9000 Gent, Belgium.

2. Definitions

• • "MyLabelDesk" / "the Platform": the SaaS platform operated by AWC Music Services BV.
• • "User": any individual or entity creating an account or accessing the Platform.
• • "Organization" / "Label": the entity that creates a workspace within MyLabelDesk and manages associated Users.
• • "Services": all functionalities offered through MyLabelDesk, including but not limited to demo review, metadata management, label copy generation, contract templates, file storage, and related tools.

3. Access and Accounts

• • Users must create an account to access the Services.
• • Users are responsible for providing accurate information and keeping their login credentials confidential.
• • Organizations are responsible for managing access for their invited Users.
• • User accounts are personal and may not be shared outside the Organization without prior consent from MyLabelDesk.
• • MyLabelDesk reserves the right to suspend or terminate accounts in case of misuse, violation of these Terms, or illegal activities.

4. User Responsibilities

Users remain solely responsible for all content uploaded to MyLabelDesk, including audio files, metadata, contracts, and documents.

Users warrant that they own or have the necessary rights to all uploaded content.

Users must not:

• • Upload illegal, infringing, or harmful content.
• • Violate intellectual property rights of third parties.
• • Attempt to bypass or interfere with security or access systems.

5. Copyright Compliance & Takedown Policy

Users and Organizations are solely responsible for ensuring they have all necessary rights and permissions for any content uploaded to MyLabelDesk.

If MyLabelDesk receives a valid notice of copyright infringement or becomes aware of infringing or illegal content, such content may be disabled or removed without prior notice.

Repeated violations may result in suspension or termination of the account or Organization.

MyLabelDesk does not mediate disputes between rightsholders and users and bears no liability for any claims arising from user-uploaded content.

MyLabelDesk may implement a "strike" policy for repeated copyright violations.

6. Confidentiality

MyLabelDesk acknowledges that uploaded content (including demos, metadata, and contracts) may be confidential.

MyLabelDesk will not access, share, or disclose such content except as necessary to provide the Services or comply with legal obligations.

7. Subscriptions and Payment

• • MyLabelDesk operates on a subscription basis (monthly or yearly), processed securely via Stripe.
• • Prices are listed on the Pricing Page and include VAT unless stated otherwise.
• • Payment is due in advance. Access may be suspended in case of late or failed payment.
• • Annual subscriptions are billed upfront and are non-refundable.
• • Downgrades take effect at the next renewal date.
• • Upgrades are charged pro-rata for the remaining period.
• • Free trials and pilot plans may be offered at MyLabelDesk's sole discretion and may be withdrawn at any time.
• • Customers are responsible for any applicable taxes or duties not collected by MyLabelDesk.

8. Intellectual Property

MyLabelDesk retains all rights, title, and interest in and to the Platform, including all software, code, designs, and trademarks.

Users and Organizations retain ownership of their uploaded content but grant MyLabelDesk a limited, non-exclusive license to process, store, and display such content solely for the purpose of providing the Services.

Feedback or suggestions provided to MyLabelDesk may be freely used, implemented, or modified by MyLabelDesk without obligation or compensation.

9. Whitelabel, Custom, and Enterprise Solutions

Custom, white-label, or enterprise solutions may be subject to separate written agreements.

In the event of conflict between these Terms and a separate agreement, the latter shall prevail.

For whitelabel environments (e.g. under a customer's subdomain), the Organization remains the owner of its uploaded data and branding, while MyLabelDesk retains full ownership of the underlying software, systems, and intellectual property.

10. Data Protection & Privacy

• • MyLabelDesk processes personal data in accordance with applicable data protection laws, including the GDPR.
• • MyLabelDesk acts as a data processor, while the Organization/User acts as the data controller.
• • Sub-processors include: Supabase, Cloudflare R2, Netlify, Stripe, and Google Workspace.
• • All data is encrypted in transit and at rest.
• • In the event of a security breach affecting user data, MyLabelDesk will notify affected Organizations without undue delay and take reasonable steps to mitigate the impact.

11. Data Retention, Export & Termination

• • Users may terminate their subscription at any time via account settings.
• • Upon termination, access remains until the end of the billing period.
• • Uploaded content will be permanently deleted 90 days after termination unless legally required to retain data.
• • Users may request an export of their data prior to deletion.
• • MyLabelDesk will make reasonable efforts to provide exports in a standard machine-readable format to ensure data portability.
• • In the event MyLabelDesk discontinues its Services, users will be notified at least 60 days in advance and given the opportunity to export their data.

12. Service Availability and Beta Features

MyLabelDesk strives to maintain a high level of service availability and data security.

Regular backups are performed and monitored, but as the platform is still in active development, no formal SLA or uptime guarantee is provided at this stage.

Maintenance or updates may occasionally cause temporary downtime.

Certain features may be offered in beta or early access, which are provided "as is" and may be modified or discontinued at any time.

13. Third-Party Services and Integrations

• • MyLabelDesk may offer integrations with third-party services (e.g., Dropbox, Fuga, Spotify).
• • MyLabelDesk is not responsible for the availability, data handling, or performance of such third-party services.
• • Users use integrations at their own risk and subject to the third party's terms.

14. Audit Logs & Compliance

MyLabelDesk maintains system-level activity logs to support transparency and accountability.

These logs record actions such as uploads, edits, and deletions.

MyLabelDesk complies with GDPR and, where applicable, will provide auditable data upon lawful request by an Organization or regulator.

15. API Usage and Ownership

If and when MyLabelDesk provides an API, access will be governed by specific API Terms.

API keys may only be used by authorized Organizations and within usage limits.

All API endpoints, data structures, and documentation remain the exclusive property of MyLabelDesk.

Users are not permitted to replicate or redistribute API data without written consent.

16. Indemnification

Users agree to indemnify and hold harmless MyLabelDesk (AWC Music Services BV) from any claims, damages, or liabilities arising from:

• • Uploaded content,
• • Violation of these Terms,
• • Infringement of intellectual property or other third-party rights.

17. Liability

• • The Services are provided "as is," without warranties of any kind.
• • To the maximum extent permitted by law, MyLabelDesk is not liable for indirect, incidental, or consequential damages, including but not limited to loss of data, profits, or business opportunities.
• • MyLabelDesk's total liability is limited to the amount paid by the User in the twelve (12) months preceding the claim.

18. Force Majeure

MyLabelDesk shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, war, acts of government, internet outages, or third-party service failures.

19. Amendments

• • MyLabelDesk may amend these Terms from time to time.
• • Users will be notified at least 30 days in advance via email or in-app notification.
• • Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

20. Governing Law and Jurisdiction

• • These Terms are governed by Belgian law.
• • Any disputes shall be submitted to the courts of Ghent, Belgium, unless mandatory law provides otherwise.
• • In case of translation, the English version of these Terms shall prevail.
